Welcome to StockAgents. Please read these Terms of Service ("Terms") carefully before using the Service. By registering, logging in, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any of these Terms, please do not use the Service.
## 1. Description of the Service
StockAgents is a market research and analysis tool developed and operated by Shenzhen Yuanjingyao Technology Co., Ltd. ("we", "us", "our"). It uses multiple AI agents to automatically organize, analyze, and present publicly available market data.
## 2. Nature of the Service and Disclaimers
Important: This application is a market research and analysis tool. It does NOT provide investment advisory services, securities recommendations, buy/sell timing advice, or asset management services, and it does not hold any financial license. The application does not output any trading direction (buy/sell/hold), target prices, stop-loss levels, or position sizing advice. All content is for information organization and research reference only and does not constitute investment advice, recommendations, or solicitation of any kind.
This application is not registered with or licensed by the U.S. Securities and Exchange Commission, the Hong Kong Securities and Futures Commission, the China Securities Regulatory Commission, or any other financial regulatory authority. Any investment decision must be made based on your own independent judgment, and all investment risks and consequences are borne solely by you.
## 3. Eligibility and User Responsibilities
- You must be at least 18 years old with full legal capacity to use the Service
- Minors aged 14 to 18 may only use the Service with the consent of a parent or guardian
- You are responsible for making your own investment decisions and bearing all consequences
- You may not use the Service for any unlawful purpose
- You may not reverse engineer, decompile, or disassemble the application to obtain its source code or algorithms
## 4. Credits and Subscriptions
4.1 Trial Credits
- New users receive complimentary trial credits; the exact amount is as displayed in the App
- Trial credits are non-transferable and cannot be redeemed for cash
4.2 Auto-Renewing Subscriptions
- Current plans and prices are as displayed in the App (Standard and Pro, monthly and annual)
- Subscriptions are processed through Apple's In-App Purchase system; payments are managed by Apple
- Subscriptions automatically renew within 24 hours before expiration unless auto-renewal is turned off at least 24 hours before the end of the current period in your Apple ID settings
- Apple will charge your account within 24 hours before the current period ends
- You can manage or cancel your subscription anytime in your device Settings > Apple ID > Subscriptions
- Used credits are non-refundable; if a subscription expires without renewal, the service will be downgraded to the free tier
4.3 Price Changes
- We reserve the right to adjust service prices
- Price changes will be announced via in-app notification 30 days in advance
- Existing subscribers are not affected by price changes within their current billing period
## 5. Intellectual Property
The software code, interface design, analysis models, text content, and icon assets of this application are protected by copyright law and other intellectual property laws. Without written authorization, you may not copy, modify, distribute, publish, or use them for other commercial purposes.
AI-generated analysis reports belong to you (you may view, share, and delete them), but we retain ownership of the analysis models and algorithms.
## 6. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Service (including but not limited to investment losses, loss of profits, and data loss).
Our aggregate liability to you shall not exceed the service fees you actually paid to us in the 12 months preceding the dispute. We bear no liability for free users' use of the Service.
## 7. Force Majeure
We shall not be liable for service interruption or losses caused by force majeure events such as earthquakes, typhoons, floods, fires, wars, strikes, government actions, telecommunications infrastructure failures, or cyber attacks. We will make reasonable efforts to restore the Service as soon as possible.
## 8. Service Changes and Termination
- We may update, modify, or suspend some or all Service features from time to time
- For major non-emergency service changes, we will notify you 7 days in advance via in-app notification
- You may stop using the Service and delete your account at any time
- After account deletion, your personal information will be handled in accordance with our Privacy Policy
- If you materially breach these Terms, we reserve the right to suspend or terminate the Service provided to you
## 9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any dispute arising from these Terms or the Service shall first be resolved through friendly negotiation. If negotiation fails, either party may bring the dispute to the people's court with jurisdiction at the domicile of Shenzhen Yuanjingyao Technology Co., Ltd.
## 10. Changes to These Terms
We may update these Terms from time to time. Material changes (including but not limited to fee structures, disclaimers, and user obligations) will be announced via prominent in-app notification, and your renewed consent will be requested. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
## 11. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
## 12. Entire Agreement
These Terms, together with the Privacy Policy and Risk Disclosure displayed in the App, constitute the entire agreement between you and us. In case of conflict between these Terms and the Privacy Policy, the provision specifically addressing the matter shall prevail.
